RentSpree PRO Supplemental Terms

‍IMPORTANT NOTICE: RENTSPREE’S TERMS OF SERVICE INCLUDE AN AGREEMENT TO MANDATORY ARBITRATION, WHICH MEANS THAT YOU AGREE TO SUBMIT ANY DISPUTE RELATED TO YOUR (OR YOUR ORGANIZATION’S) USE OF RENTSPREE PRO TO BINDING ARBITRATION RATHER THAN PROCEED IN COURT, UNLESS YOU OPT OUT AS DESCRIBED IN THE TERMS OF SERVICE.  RENTSPREE’S TERMS OF SERVICE ALSO INCLUDE A JURY WAIVER AND A PROHIBITION OF CLASS ACTIONS.

BY USING RENTSPREE PRO YOU AGREE TO BE BOUND BY THESE SUPPLEMENTAL TERMS (“PRO TERMS”) AS WELL AS THE TERMS OF SERVICE INCLUDING, BUT NOT LIMITED TO, THE PROVISIONS RELATED TO ARBITRATION, JURY WAIVER, PROHIBITION OF CLASS ACTIONS AND DISPUTE RESOLUTION.  THIS MEANS THAT WHEN YOU USE RENTSPREE PRO YOU AGREE TO BE BOUND BY BOTH THESE PRO TERMS AND THE TERMS OF SERVICE.

If there is a conflict between the Terms of Service and these PRO Terms, these PRO Terms will control.

THESE PRO TERMS ARE A LEGAL AGREEMENT BETWEEN YOU AND RENTSPREE AND GOVERN YOUR USE OF RENTSPREE PRO. RENTSPREE PRO IS PROVIDED BY RENTSPREE, INC. (“RENTSPREE”, “US”, “OUR” OR “WE”) FOR LANDLORDS, REAL ESTATE PROFESSIONALS AND PROPERTY MANAGERS.

BY CLICKING THE “I ACCEPT” BUTTON, OR SIMILAR BUTTON INDICATING YOUR AGREEMENT, OR OTHERWISE USING OR ACCESSING RENTSPREE PRO, YOU REPRESENT THAT YOU’VE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE PRO TERMS AND THE TERMS OF SERVICE. IF YOU DON’T AGREE WITH THESE PRO TERMS AND THE TERMS OF SERVICE, YOU MAY NOT USE RENTSPREE PRO.

RentSpree may update these PRO Terms from time to time. When material changes are made, RentSpree will make reasonable efforts to provide notice to you, and changes to subscription pricing will be made only as described in the “Price Changes” section below. Except as provided in that section, your continued use of RentSpree PRO after updated PRO Terms are posted constitutes your acceptance of the updated PRO Terms. We encourage you to regularly check the Terms of Service and these PRO Terms to view the most current terms. In addition, by using RentSpree PRO you agree to be bound by RentSpree's Privacy Policy.

By accessing RentSpree PRO on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these PRO Terms, that you’ve read and understand the PRO Terms, and on behalf of the organization you represent, you agree to the PRO Terms. All references to “you” and “your” include you and the organization you represent and any authorized user of RentSpree PRO in that organization, or you personally if you are not accessing RentSpree PRO on behalf of an organization. You may access RentSpree PRO only if you understand, agree and accept the PRO Terms. If you don't have legal authority to bind your organization to these PRO Terms or do not agree with these PRO Terms, you may not use RentSpree PRO.

Payment; Automatic Renewal

You must have a valid form of payment on file in order to purchase a RentSpree PRO subscription (or participate in a Free Trial Period, as discussed below). You agree to abide by any terms and conditions or other agreements, whether with RentSpree or a third party, that govern your use of a payment processing method. If you purchase an automatically renewing subscription, you agree that RentSpree will charge the payment method on file the then-current subscription price (plus applicable taxes) on the first day (or thereafter) of each billing period for the relevant subscription, and that your subscription will continue to renew automatically for successive billing periods of the same length until you cancel, and if your payment method becomes invalid and RentSpree is unable to charge you for the renewal period, RentSpree may immediately revoke your access to RentSpree PRO until you provide a valid payment method. If you fail to provide a valid payment method within a reasonable amount of time, RentSpree may cancel your subscription at its discretion.

Before you purchase, we will clearly disclose the subscription price, the length of the billing period, that the subscription renews automatically until cancelled, and how to cancel, and we will send you an acknowledgment of these terms after purchase. If your subscription has a billing period longer than one month, we will send you a reminder at least 15 and no more than 30 days before it renews, including the renewal price and how to cancel.

If you pay by bank account (ACH), you authorize RentSpree to debit your account for each renewal in the amount described above. If any debit will differ in amount from the prior debit, we will notify you at least 10 days before the debit date.

Price Changes

RentSpree may change the price of RentSpree PRO from time to time. If we increase the price of your existing subscription, we will notify you by email (or by another method you have selected) at least 7 days and no more than 30 days before the new price takes effect. The notice will state the new price, the date it takes effect, and how to cancel. The new price will apply starting with your first billing period that begins on or after the effective date.

If you do not want to pay the new price, you may cancel before it takes effect. In addition, if you are charged the new price and cancel within 14 days after that first charge, we will refund the unused portion of that billing period on a pro rata basis. Where applicable law requires your affirmative consent before charging an increased price, we will obtain that consent before charging you the new price.

RentSpree does not provide price protection or refunds in the event of a price reduction or promotional offering.

Taxes

If RentSpree is required to collect or pay any taxes in connection with your purchase or use of RentSpree PRO, such taxes will be charged to you.

Cancellations

You may cancel your subscription any time prior to the end of the current billing period online through your RentSpree account settings or by contacting [email protected], and the cancellation will take effect at the end of the current billing period. You will retain access to RentSpree PRO from the time you cancel until the end of the current billing period and, except as described in the “Price Changes” section or as required by applicable law, will not receive a refund or credit for any remaining days in your current billing period.

Termination

On the effective date of cancellation or termination of your subscription, all rights and licenses granted to you under these PRO Terms will cease and you must immediately cease using RentSpree PRO.

Free Trial Period

At our discretion, we may offer you free access to RentSpree PRO (“Free Trial Period”). Free Trial Period access may be subject to limited features, functionality, performance and volume thresholds. We may amend, vary or cancel any Free Trial Period access at any time. You use the Free Trial Period version of RentSpree PRO at your sole risk, we make no representation or warranty, express or implied, regarding the Free Trial Period access. If you purchase a RentSpree PRO subscription that includes a Free Trial Period, you’ll receive free access to RentSpree PRO for the duration of the Free Trial Period. At the end of the Free Trial Period, you will be charged the price of the subscription disclosed to you at sign-up for access following the Free Trial Period and will continue to be charged on each renewal until you cancel your subscription. Before the Free Trial Period ends, we will send you a reminder that includes the date your paid subscription begins, its price, and how to cancel; for Free Trial Periods longer than 31 days, we will send this reminder at least 3 and no more than 21 days before the Free Trial Period ends. To avoid charges, you must cancel before the end of the Free Trial Period online through your RentSpree account settings.

Suspension for Ongoing Harm

RentSpree may suspend your access to RentSpree PRO if it concludes in its discretion that your use of RentSpree PRO is being used or likely to be used to engage in denial-of-service (DDoS) attacks, spamming, misappropriation of third-party rights or illegal activity, or in violation of the User Conduct and Acceptable Use provisions of the Terms of Service, and/or that your use of RentSpree PRO is causing immediate, material and/or ongoing harm to RentSpree or others. You agree that RentSpree will not be liable for any suspension of RentSpree PRO under such circumstances.

Changes or Discontinuation of RentSpree PRO

RentSpree reserves the right to change the availability of RentSpree PRO. In addition, subject to the “Price Changes” section and applicable law, RentSpree reserves the right to modify, suspend, or discontinue RentSpree PRO with or without notice to you and we will not be liable to you or any third party for any such modifications, suspension, or termination. In the event of RentSpree PRO’s suspension or discontinuation, your sole remedy will be a pro rata refund of prepaid fees for the unused portion of your then-current billing period.

For all other terms, including, but not limited to, User Conduct and Acceptable Use; Intellectual Property Rights and Use of Data; Personal Information, Data (including Resultant and Analytical Data), Rights and Confidentiality; Security Breach Notification; Trademarks and Ownership; DMCA Compliance; Disclaimer, Liability and Indemnification; Electronic Signatures and Communications; Dispute Resolution (including the 30-day arbitration opt-out right); Notice; Governing Law; and other general terms (including Compliance with Law, Severability, Entire Agreement, Waiver, Relationship of the Parties, Assignment and Survival), please consult our Terms of Service.
